Terms of Service
Those persons who register with the Site and who download the TimeBridge software (See Section 2 herein) are defined as "Members." Users who merely reply to a Member’s invitation to participate in a meeting without registering with us themselves are defined as "Non-Members". This Terms of Service applies both to Members and Non-Members (collectively "Participants").
YOU UNDERSTAND THAT BY CLICKING THE "I AGREE" BUTTON, OR BY USING THE SITE, THE SERVICE (INCLUDING ANY CONTENT PROVIDED THEREIN), OR YOUR MEMBERSHIP ACCOUNT, YOU ARE AGREEING TO BE BOUND BY THESE TERMS OF SERVICE. YOU MUST ACCEPT, WITHOUT MODIFICATION, ALL OF THE TERMS, CONDITIONS, POLICIES AND NOTICES REFERENCED IN THESE TERMS OF SERVICE IN ORDER TO ACCESS AND USE THE SITE AND THE SERVICE. IF YOU DO NOT ACCEPT THESE TERMS OF SERVICE IN ITS ENTIRETY, YOU MAY NOT ACCESS OR USE THE SITE OR THE SERVICE. IF YOU ARE ACCEPTING THE TERMS OF THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT COMPANY OR OTHER LEGAL ENTITY TO THE TERMS OF THESE TERMS OF SERVICE, AND, IN SUCH EVENT, “YOU” AND “YOUR” WILL REFER TO THAT COMPANY OR OTHER LEGAL ENTITY.
1. Modification of the Site or Terms of Service
TimeBridge reserves the right, in its sole discretion, at any time and for any reason or no reason, to (i) modify, discontinue or terminate the Site and the Services, or (ii) modify these Terms of Service or any related terms and conditions governing your use of the Site and the Services. All modified terms and conditions will be effective after they are initially posted on the Site (unless a longer notice period is required by applicable law). If we modify these Terms of Service, we will post the modification on the Site or provide you with notice of the modification. We will also update the “Last Updated Date” at the top of this page. If any modified terms and conditions are not acceptable to you, your only recourse is to cease using the Site and the Services, and if applicable, cancel your Membership Account (as defined below). By continuing to access or use the Site and the Services after TimeBridge makes any such revision, you agree to be bound by the revised Terms of Services.
2. Membership and Use of the Services
2.1 In order to use the meeting organization portion of the Services (i.e., set-up and invite Participants to meetings), you must register as a Member and create a membership account by providing your name, e-mail address, time zone, and account password ("Membership Account"). Non-Members are required to register with TimeBridge to circulate and post Meeting Materials (See Section 2.4 herein). If you choose to download TimeBridge software, you will also have to provide certain technical information to configure your Microsoft Outlook software ("Configuration Information"). Membership is available to persons who are at least eighteen (18) years of age or are otherwise capable of forming legally binding contracts under applicable law. TimeBridge reserves the right to refuse service to anyone at any time without notice.
2.2 As a Member you agree to: (a) provide true, accurate, current and complete Membership Account information; and (b) maintain and promptly update all Membership Account information to keep it true, accurate, current and complete. Your Membership Account information and the Configuration Information you provide to TimeBridge is stored in system files on your computer and on TimeBridge’s servers.
2.5 Based on your account use and other factors identified by TimeBridge in its sole discretion, TimeBridge may require verification of your identity and/or other information, as applicable, in order for you to continue using the Site and the Services. In such event, you agree to provide TimeBridge with additional information that may be requested.
2.6 You are responsible for maintaining the confidentiality of your password and Membership Account information, and are fully responsible for any and all activities that occur under your password or Membership Account. You agree to: (a) immediately notify TimeBridge of any unauthorized use of your password or Membership Account or any other breach of security related thereto; and (b) ensure that you properly exit from your Membership Account sessions at the end of each session.
2.7 TimeBridge offers you the ability to receive SMS reminders as part of the Services. By choosing to utilize such SMS reminders, you represent that you are the owner or authorized user of the wireless device you use to receive SMS reminders and that you are authorized to approve any and all applicable charges. You agree and acknowledge that your wireless provider's standard message and data rates may apply in addition to any TimeBridge fees.
2.8 You agree to pay the applicable fees and any taxes and other fees that may accrue in relation to your use of the Site and Services, if any. All fees are non-refundable and non-transferable except as expressly provided in these Terms. All fees and applicable taxes, if any, are payable in United States dollars.
3. Premium Service and Business Accounts
Currently, TimeBridge offers Members the ability to add on additional features for a fee ("Premium Service"). More information on the types of Premium Service Plans (each a "Plan") that TimeBridge offers and the costs involved can be found here.
TimeBridge also offers your business the option of enrolling multiple users through our “Business Accounts.” Information on Business Accounts can be found here.
Please read this document in its entirety regarding account restrictions. TimeBridge reserves the right, at any time, to change or impose fees for access to and use of the Site or Services.
TimeBridge accepts credit cards and will automatically charge your credit card monthly or annually depending upon which Plan you select. If any fee is not paid in a timely manner, or TimeBridge is unable to process your transaction using the credit card information provided, TimeBridge reserves the right to revoke your access to your Premium Features. If you do not bring your TimeBridge balance current within five (5) days after TimeBridge provides you with notification that your Plan is in arrears, TimeBridge reserves the right to use our discretion to disable your Membership Account or access to your Premium Features.
The fees for your Plan will be billed from the date you elect, or convert to, a Plan and on each monthly or annual renewal thereafter unless and until you cancel your Plan or it is terminated. TimeBridge will automatically bill your credit card each month on the calendar day corresponding to the commencement of your Plan. In the event your Plan began on a day not contained in a given month or year, TimeBridge will bill your credit card on the last day of such month or year. For example, if your Plan began on January 31st, February 28th is the next time your credit card would be billed. You acknowledge that the amount billed each month may vary for reasons that include, differing amounts due to promotional offers, differing amounts due to changes in your Plan, or changes in the amount of applicable sales tax, and you authorize us to charge your credit card for such varying amounts. TimeBridge may also periodically authorize your credit card in anticipation of Plan or related charges.
Should you elect to upgrade to a Plan, you will be billed for the difference in cost between the plans at that time and the benefits of your new Plan will be effective immediately. Downgrades to Plans will also take place immediately. TimeBridge does not provide refunds or credits for any partial months. The new fee associated with your Plan will not be effective until your next commencement date.
TimeBridge may change the fees and charges in effect, or add new fees and charges from time to time, but we will give you advance notice of these changes by email. If you want to use a different credit card or if there is a change in your credit card validity or expiration date, you may edit your information by accessing your "My Account" page. If your credit card reaches its expiration date, your continued use of TimeBridge constitutes your authorization for us to continue billing that credit card and you remain responsible for any uncollected amounts. It is your responsibility to keep your contact information and payment information current and updated.
5. Cancelling Your Plan
Your Plan will continue in effect unless and until you cancel your Plan or we terminate it. You must cancel your Plan before it renews each month in order to avoid the billing of the next month’s fees to your credit card. TimeBridge will bill the monthly fees associated with your Plan plus any applicable tax to the credit card you provide to us during registration (or to a different credit card if you change your Plan information).
TimeBridge Plans are prepaid. You may cancel your Plan at anytime, and cancellation will be effective immediately. If you wish to cancel your Plan you may do so via your "My Account" page. Should you select to cancel your Plan, please note that you will not be issued a refund for the most recently (or any previously) charged monthly or annual fees.
6. Your Obligations in Using the Site and the Services
6.1 You agree that you are responsible for establishing and maintaining your own calendar(s) and event information. TimeBridge acts only as an interface to facilitate communications between users. TimeBridge does not control, nor is it responsible for, the truth, accuracy, completeness, timeliness, quality, appropriateness, or legality of any information provided to users of the Site or the Services via a user’s use of the Site or the Services. TimeBridge reserves the right to monitor your use of or review your conduct with regard to the Site and the Services. TimeBridge assumes no responsibility, however, for monitoring or policing use of the Site or the Services.
6.2 The Site and the Services may only be used and accessed for lawful purposes. You agree to abide by all applicable local, state, national and foreign laws, treatises and regulations in connection with your use of the Site and the Services (including, but not limited to, those laws that regulate the sending and transmission of email messages). In addition, without limitations, you agree to comply with the following:
(a) You may not use the Site or the Services (i) to transmit "junk mail", "chain letters", "spam" or unsolicited commercial email messages the primary purpose of which is the commercial advertisement or promotion of a commercial product or service; or (ii) to send messages to distribution lists, newsgroups, or to recipients who do not know you or who are unlikely to recognize you as a known contact.
(b) You will not use the Site or the Services to promote any products or services, or to provide any products or services related to, claiming success with or offering information regarding lottery numbers or for purposes of multi-level marketing proposals (for example, offering to help participants "get rich quickly" or "make money surfing the Web"). You will not use the Site to promote bonus items, giveaways, random drawings, prizes, contests or games of chance.
(c) You will not use the Site or the Services for any purpose that is unlawful, fraudulent or contrary to this Terms of Services and the policies of TimeBridge, and you will cooperate fully with TimeBridge to investigate any suspected unlawful, fraudulent or improper activity, including, but not limited to, granting authorized TimeBridge representatives access to any password-protected portions of your Membership Account.
(d) You may not use the Site or the Services to upload, post, e-mail, otherwise transmit, or post links to: (i) any unsolicited or unauthorized advertising or promotional materials; or (ii) content which is harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, libelous, invasive of privacy or publicity rights, hateful, or racially, sexually, ethnically or otherwise objectionable.
(e) You may not intentionally distribute viruses, worms, defects, Trojan horses, corrupted files, hoaxes, or any other items of a destructive or deceptive nature using the Site or the Services.
(f) You may not impersonate another person (via the use of an email address or otherwise) or otherwise misrepresent yourself or the source of any email.
(g) You are solely responsible for all equipment necessary to access and use the Site and the Services.
(h) You will not attempt to gain unauthorized access to any Membership Account information, computer systems or networks associated with the Site and the Services.
(i) You will not attempt to obtain any information or materials relating to the Site and the Services through any means not intentionally made available through the Site.
(j) You will not "frame", "mirror" or otherwise copy any portion of the Site without TimeBridge’s express written authorization.
(k) You will not encourage or instruct any other individual to do any of the foregoing or to violate any term of this Terms of Services.
7. Your Use of the Services
TimeBridge grants you a limited, nonexclusive, nontransferable, revocable license to use the Site, Content, Files and Services subject to the restrictions set forth in these Terms of Service.
TimeBridge reserves the right to limit the number of registered TimeBridge users with email logins originating from the same enterprise domain and to require that enterprise to enter into a TimeBridge corporate license. Information on TimeBridge for your business can be found here . TimeBridge and its suppliers do not authorize the use of the Site or the Services for any purpose other than your personal use, and prohibit the resale, and redistribution of the Services.
8. Termination or Cancellation
You may cancel your use of the TimeBridge Services at any time by canceling your Membership Account on your Membership Account settings page, by sending email to email@example.com , or contacting us by mail at the following address:

You acknowledge and agree, however, that a terminated Membership Account may continue to exist for up to two (2) business days before such cancellation takes effect. TimeBridge may at any time terminate or suspend your access to the Services effective immediately with or without cause, including but not limited to immediate termination of your use of the Services should your conduct fail to conform to any part of this Terms of Services. TimeBridge shall not be liable to you or any third party for termination of the Services or termination of your use of the Services. Should you object to any terms and conditions of this Terms of Service or any subsequent modifications TimeBridge makes to this Terms of Service, or should you become dissatisfied with the Services in any way, your only recourse is to immediately: (a) discontinue use of the Services; and (b) notify TimeBridge of your termination. UPON SUCH TERMINATION OR SUSPENSION, ANY INFORMATION (INCLUDING YOUR MEETING MATERIALS) THAT YOU HAVE STORED ON THE TIMEBRIDGE SITE OR THAT WHICH IS RELATED TO YOUR MEMBERSHIP ACCOUNT MAY NO LONGER BE ACCESSED BY YOU, although all or some of your information may continue to exist in TimeBridge’s database and in back-up copies of the database. Furthermore, TimeBridge shall have no obligation to maintain any information stored in our database related to your Membership Account or to forward any information to you or any third party. Upon termination of your use of the Services, Sections 2.7, 2.8, 3, 7, 9, 10, 13, 14, and 15 shall survive any such termination.
9. Disclaimer of Warranties
YOUR USE OF THE SERVICE AND THE SITE IS SOLELY AT YOUR OWN RISK. THE SERVICE AND THE SITE ARE PROVIDED ON AN "AS IS" BASIS. TIMEBRIDGE MAKES NO WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, AND TIMEBRIDGE SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, AVAILABILITY, NONINFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE OR OTHERWISE.
TIMEBRIDGE DOES NOT WARRANT THAT THE SERVICE OR THE SITE WILL MEET YOUR REQUIREMENTS OR WILL BE ERROR-FREE.
ANY MATERIAL DOWNLOADED BY YOU OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE OR THE SITE IS DONE AT YOUR OWN RISK AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL OR FROM USE OF THE SERVICE OR THE SITE.
10. Limitation of Liability
YOU AGREE TO INDEMNIFY, DEFEND AND HOLD TIMEBRIDGE, AND ITS EMPLOYEES, SUBSIDIARIES, AGENTS AND REPRESENTATIVES HARMLESS, FROM AND AGAINST ANY LIABILITY ARISING FROM OR IN ANY WAY RELATED TO YOUR USE OF THE SITE OR THE SERVICE, INCLUDING ANY LIABILITY OR EXPENSE ARISING FROM ALL CLAIMS, LOSSES, DAMAGES (ACTUAL AND CONSEQUENTIAL), SUITS, JUDGMENTS, LITIGATION COSTS AND ATTORNEYS’ FEES, OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, FORESEEABLE AND UNFORESEEABLE, DISCLOSED AND UNDISCLOSED. In each case, TimeBridge will provide you with written notice of such claim, suit or action.
12. Copyrighted Materials and Trademarks: No Unauthorized Use
YOU SHALL NOT USE THE SITE OR THE SERVICES TO TRANSMIT, ROUTE, PROVIDE CONNECTIONS TO OR STORE ANY MATERIAL THAT INFRINGES COPYRIGHTED WORKS, TRADEMARKS, OR OTHERWISE VIOLATES OR PROMOTES THE VIOLATION OF THE INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTY.
TimeBridge has adopted and implemented a policy, stated below, that provides for the termination in appropriate circumstances of Participants who infringe or are believed to be infringing the rights of copyright holders or of holders of federally registered trademarks (and unregistered trademarks in certain circumstances).
The TimeBridge Copyright and Trademark Related Policy is as follows: If you believe that your work has been copied in a way that constitutes copyright infringement, please provide TimeBridge’s Copyright Agent listed below with the following information required under 17 U.S.C. § 512:
(a) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
(b) Identification of the copyright work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at the Site;
(c) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit TimeBridge to locate the material;
(d) Information reasonably sufficient to permit TimeBridge to contact the complaining party, including a name, address, telephone number and, if available, an email address at which the complaining party may be contacted;
(e) A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent or the law;
(f) A statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Upon receipt of notice as described above, TimeBridge will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged use from the Site, and/or termination of the Member’s Membership Account.
If you believe that your federally registered trademark is being used by a Participant in a way that constitutes trademark infringement, please provide TimeBridge’s Trademark Agent with the following information:
(a) A physical or electronic signature of a person authorized to act on behalf of the registered trademark owner;
(b) Information reasonably sufficient to permit TimeBridge to contact the registered trademark owner or its authorized agent, including a name, address, telephone number and, if available, an email address;
(c) Identification of the trademark(s) claimed to have been infringed, including a copy of each relevant federal trademark registration certificate(s);
(d) Information reasonably sufficient to permit TimeBridge to identify the use being challenged by the registered trademark owner;
(e) A statement that the registered trademark owner has not authorized the challenged use, and that the registered trademark owner has a good-faith belief that the challenged use is not authorized by law;
(f) A statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is the registered trademark owner or is authorized to act on behalf of the registered trademark owner.
Upon receipt of notice as described above, TimeBridge will confirm the existence of the federal registration of the trademark in question and will take whatever action, in its sole discretion, it deems appropriate, including following confirmation of the existence of the federal registration, removal of the challenged use from the Site, with notice to the Participant in question, if, in TimeBridge’s sole discretion, TimeBridge concludes that the mark or name is identical to the registered mark and is used in connection with goods and/or services covered by the trademark owner’s federal registration, unless, prior to such removal, the Participant in question demonstrates that it has its own trademark registration or approved trademark application covering the use in question.
Notwithstanding the foregoing, TimeBridge will comply as appropriate with the terms of any court order relating to the behavior of the challenged party identified in such court order.

13. Content Policy
You understand that all Meeting Materials, including any data, text, photographs, graphics, files, documents, agendas, comments, messages or other materials, are the sole responsibility of the Participant from whom such Meeting Materials originated and/or are provided. Solely to administer and provide you with the Services, you hereby grant TimeBridge a worldwide, perpetual, royalty-free, irrevocable, non-exclusive, sublicensable right and license to use, copy, adapt, publish, transmit, distribute, perform, display, reference, index and cache, in any form, medium or technology now known or later developed on the Site or related to the Services any Meeting Materials you provide in conjunction with your use of the Site and the Services and your requests related thereto. TimeBridge does not control or create the Meeting Materials provided by any Participant and thus does not guarantee their correctness, accuracy, integrity or quality. TimeBridge is not liable in any way for any Meeting Materials provided by any Participant containing, including, without limitation, those containing illegal material or infringing intellectual property content, errors or omissions, or that violates rights of publicity or privacy.
TimeBridge reserves the right to delete any Meeting Materials uploaded by Participants to TimeBridge’s servers after at least thirty (30) days from the scheduled date of the meeting in connection with which the Meeting Materials were uploaded.
With the exception of Meeting Materials and any other information or material provided by a Participant to the Site or via the Services, all contents and materials published on the Site and made available though the Services are protected by copyright, trademark or other intellectual property rights and are owned or controlled by TimeBridge or the applicable third parties.
15. Notice and Consent to Electronic Notice
15.1 Any notice or other communication to be given hereunder will be in writing and given (a) by TimeBridge via facsimile with confirmed receipt, United States mail or email (in each case to the number or address that you provide), and (b) by you via email to firstname.lastname@example.org . The date of receipt shall be deemed the date on which such notice is transmitted in the case of facsimile or email, and five (5) business days after receipt by the U.S. Postal Services in the case of United States mail.
15.2 You consent to the use of (a) electronic means to complete this Terms of Service, to use the Site and the Services and to deliver to you any notices pursuant to this Terms of Service; and (b) electronic records to store information related to this Terms of Service or your use of the Site or the Services. You understand and agree that this Terms of Service and any notices given pursuant to this Terms of Service are enforceable in electronic format. You can request a copy in paper form of this Terms of Service and any other records relating to this Terms of Service or your use of the Site by sending a written request to TimeBridge at the following address:

16. No Assignment
You shall not assign this Terms of Service or assign any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without the prior written consent of TimeBridge. Any such purported assignment or delegation by you without the appropriate prior written consent of TimeBridge will be null and void and of no force or effect, unless otherwise expressly consented to by TimeBridge at its sole and absolute discretion. TimeBridge may assign this Terms of Service or any rights hereunder without your consent.
17. Relationship of the Parties
Notwithstanding any provision hereof, for all purposes of this Terms of Service each party shall be independent and act independently and not as a contractor, partner, joint venturer, agent, employee or employer of the other and shall not bind nor attempt to bind the other to any contract.
If any provision of this Terms of Service is held to be invalid or unenforceable, such provision shall be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remaining provisions shall be enforced. TimeBridge’s failure to act with respect to a breach by you or others does not waive TimeBridge’s right to act with respect to subsequent or similar breaches. The failure of TimeBridge to exercise or enforce any right or provision of this Terms of Service shall not constitute a waiver of such right or provision. This Terms of Service shall be governed by and interpreted in accordance with the laws of the State of California excluding that body of law pertaining to conflict of laws. Any legal action or proceeding arising under this Terms of Service will be brought exclusively in the federal or state courts located in California and the parties hereby irrevocably consent to the personal jurisdiction and venue therein. You agree that this Terms of Service and the rules, restrictions and policies contained herein, and TimeBridge’s enforcement thereof, are not intended to confer and do not confer any rights or remedies upon any person other than you and TimeBridge. This Terms of Service together with the rules and policies of TimeBridge constitutes the entire agreement between TimeBridge and you with respect to the subject matter hereof.
